The agreement that governs all work between LaiinLabs and our clients. Please read before engaging our services.

By engaging LaiinLabs ("we," "us," "our") — whether through our website, email, WhatsApp, verbal agreement, or payment of a deposit — you ("Client") agree to be bound by these Terms of Service in their entirety.
These terms apply to all services provided by LaiinLabs, a creative production studio operating under the LaiinLabs umbrella and registered in Nairobi, Kenya. If you do not agree to these terms, do not engage our services.
LaiinLabs provides creative services including video production, web design, branding, SEO, Shopify store development, and AI-powered content creation. The specific deliverables, timeline, and pricing for each engagement are outlined in a written project proposal or service agreement sent prior to commencement.
Out-of-scope work — any work requested beyond what is specified in the agreed proposal will be treated as a change request and may be subject to additional fees. We will always communicate this before proceeding.
LaiinLabs reserves the right to decline any project at its discretion, including work that conflicts with our values, legal obligations, or capacity.
Deposit: A 50% deposit of the agreed project fee is required before any work begins. For projects over $5,000, milestone-based payment schedules may be agreed in writing.
Final payment: The remaining balance is due upon delivery of the final deliverables, before file transfer or site launch. Work is not released until payment is confirmed in full.
Monthly retainers: Billed on the 1st of each month. Services for the following month will not commence if payment is outstanding beyond 5 business days.
Late payments: Invoices unpaid beyond 14 days from the due date may incur a late fee of 5% per month on the outstanding balance, and work may be paused until the account is cleared.
Currency: All fees are quoted in USD. KES payments are accepted at the prevailing exchange rate on the invoice date.
Accepted payment methods: M-Pesa, Kenyan bank transfer, Paystack (card), and international wire transfer.
Refunds: The initial deposit is non-refundable once work has commenced. If a project is cancelled by the client after commencement, LaiinLabs will invoice for work completed to that point, deducting it from the deposit. Any excess deposit will be refunded.
Client ownership: Upon receipt of full and final payment, all rights to the agreed deliverables transfer to the Client. This includes design files, video footage, written content, and website code produced specifically for the Client under that project.
LaiinLabs portfolio rights: LaiinLabs retains the right to display completed work in its portfolio, website, social media, and marketing materials. If confidentiality is required, the Client must notify us in writing before project commencement.
Third-party assets: Any third-party assets used in a project (stock footage, licensed music, fonts, stock images) remain subject to their respective licences. The Client is responsible for ensuring appropriate licences are in place for commercial use where applicable.
AI-generated content: Content produced using AI tools is delivered to the Client as a work product. LaiinLabs makes no warranties regarding the long-term exclusivity of AI-generated visual styles or outputs, as similar outputs may be producible by others using the same tools.
Pre-payment work: Any concepts, designs, or strategies presented to the Client before full payment remain the intellectual property of LaiinLabs until payment is received in full.
The number of revision rounds included in each package is stated in the project proposal. A revision round constitutes consolidated written feedback submitted in a single batch. Fragmented or multiple simultaneous revision requests may be treated as separate rounds.
Additional revision rounds beyond what is included will be billed at an agreed rate, communicated before proceeding. Revisions must be requested within 14 days of delivery; after this period, the project is considered complete and accepted.
Changes that alter the original project scope — including additions, format changes, or significant strategic pivots — are treated as change requests and will be quoted separately.
Project timelines are estimates confirmed in the proposal. LaiinLabs will communicate proactively if a timeline is at risk. Delays caused by the Client — including late feedback, content delivery, or approvals — will extend the project timeline accordingly, and LaiinLabs cannot be held liable for consequential delays.
Rush delivery requests (compressed timelines) are subject to a surcharge of 25–40% and availability. Rush requests must be agreed in writing before commencement.
Final deliverables are transferred digitally. Physical deliverables, if required, are subject to additional logistics costs.
Both parties agree to treat as confidential any proprietary business information, strategies, or data shared during the engagement. LaiinLabs will not share Client business information with third parties without prior written consent, except as required by law or to sub-contractors directly involved in delivering the project (who are bound by equivalent confidentiality obligations).
This obligation of confidentiality does not apply to information that is publicly available or independently developed without reference to the Client's confidential materials.
LaiinLabs provides creative services to the best of its professional ability. However, we make no guarantees regarding specific business outcomes, revenue growth, viral performance, search ranking positions, or advertising results — as these depend on numerous factors outside our control.
To the maximum extent permitted by Kenyan law, LaiinLabs' total liability to the Client in connection with any project shall not exceed the total fees paid by the Client for that specific project.
LaiinLabs shall not be liable for indirect, consequential, or incidental damages arising from the use of our services or deliverables, including but not limited to lost profits or business interruption.
By the Client: The Client may terminate a project at any time by written notice. LaiinLabs will invoice for all work completed to that point. The deposit is non-refundable once work has commenced. Any balance above work completed will be refunded.
By LaiinLabs: We reserve the right to terminate an engagement if the Client is in material breach of these terms (including non-payment), is abusive toward our team, or requests work that is illegal, unethical, or outside our stated services. In such cases, fees for completed work are retained.
Retainer terminations require 30 days' written notice from either party.
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these terms or from an engagement with LaiinLabs shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
LaiinLabs reserves the right to update these Terms of Service at any time. The version published on this website at the time of your engagement applies to that engagement. Material changes will be communicated to active clients.
